Whistleblowing Channel

Whistleblowing and Reporting of Concerns

Phatisa has established whistleblowing and complaints reporting channels for internal and external stakeholders to raise, in good faith, genuine reportable concerns without fear of retaliation. These channels provide a platform for individuals and organisations to raise concerns if they believe they have been negatively affected by Phatisa’s activities, directly or indirectly (including through any portfolio companies, service providers, business partners or other counterparties).

Reportable concerns may be raised confidentially or anonymously. In all cases, the whistleblower or complainant is encouraged to provide sufficient detail and supporting information to enable a thorough and fair investigation of the allegations.

 

Stakeholders are encouraged to report serious malpractice promptly and, where reasonably practicable, within two weeks of becoming aware of the relevant conduct. However, Phatisa will also consider concerns raised after this period. Serious malpractice includes, without limitation:

  • Any actual, suspected or attempted bribery, corruption or Corrupt Practice.

  • Fraudulent Practice, Coercive Practice, Collusive Practice or Obstructive Practice.

  • Breach of applicable laws, regulations or government directives.

  • Conduct that endangers or may endanger health or safety or causes or may cause damage to the environment.

  • Unethical practice in accounting, internal accounting controls, financial reporting or auditing matters.

  • Discrimination, harassment, bullying, GBVH or retaliation.

  • Breach of Phatisa’s ethical principles, values, policies or codes of conduct.

  • Any cover‑up of the above matters.

Phatisa will treat all whistleblowing concerns in the strictest confidence and will take all reasonable steps to protect the identity of whistleblowers and complainants, unless disclosure is required by law or is reasonably necessary to give effect to an investigation, remediation or legal process. Information relating to complaints, reports and investigations will be shared only on a strictly need‑to‑know basis, to the extent reasonably possible and legally permissible.
